Please read these Terms of Service carefully before using ShortVids. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please stop using the website and the services.
Scope & definitions
- “Unlimited” = unlimited tasks in a queue; we work on up to your plan’s Active Requests at a time (fair-use applies).
- Active Request limits by tier: Startup: 1 at a time; Growth: 3 at a time; Creator: 5 at a time.
- Deliverables = only what’s listed in your plan/table and approved in SV Board.
- One request = one deliverable. A request that bundles multiple distinct deliverables (different scripts, audiences, formats, or content that would normally ship as separate videos) will be identified and split into separate requests, each occupying its own Active Request slot, including retroactively if identified mid-production.
- Multi-account policy: Operating multiple accounts under the same person, business, or related entity to exceed a single plan’s Active Request limit is not permitted. If identified, accounts will be merged and billed at the correct combined tier rate.
- Out-of-scope costs (not included): models/actors, extra crew, props, location/studio rentals, permits, travel, visas, per diem, special equipment, insurance, overtime.
- Beyond promised production needs: any extra requirements outside the agreed scope are billed to client after written approval.
Client inputs & handoff
- Provide final brand kit (logo files, fonts, colors, style refs) plus a content brief in SV Board.
- Supply raw footage in agreed formats (ProRes/H.264 or similar). Name files logically.
- Share access to any licensed assets you want used (fonts, music, stock, brand b-roll).
- Delays in assets/approvals extend timelines.
- Client warrants rights to submitted content. By submitting footage, music, images, or brand assets, you confirm you own them or hold a valid commercial license. ShortVids does not independently verify third-party rights on client-submitted material.
- Model releases / consent. If submitted footage includes identifiable people (customers, employees, bystanders), you confirm you’ve obtained any necessary consent or model release required to use their likeness commercially.
- Incomplete submissions. Requests missing footage or a usable brief are held in “Needs Info” status and do not consume queue priority until completed.
Turnaround, working hours & SLAs
- Timer starts after we receive all assets, logins, and a clear brief in SV Board.
- Typical short-form edit target: around 48 hours; complex edits (animation, heavy GFX, long-form, multi-language) need more time.
- “Hours/days” mean business hours/days for the assigned team (we’ll share the schedule); urgent work may attract rush fees.
Revisions & change requests
- Revision rounds are included per video and vary by plan tier: Startup: 2 rounds; Growth: 3 rounds; Creator: 4 rounds.
- Revisions on an in-progress Active Request do not consume an additional Active Request slot.
- Once a video is delivered and either approved, or 5 business days pass with no revision request, further changes are treated as a new request and re-enter the queue.
- Major changes (new script/storyline, brand, language, platform, fresh shoot ask) = new task.
- After sign-off, re-opens are new tasks unless it’s a delivery error.
SV Board (project hub)
- Used for briefs, file handoff, version review, approvals, and status.
- Response windows help us hit timelines; inactivity may pause tasks.
- Role-based permissions; client admins can invite team members.
- Authorized submitters. Clients designate a limited list of authorized team members whose briefs and feedback ShortVids will act on, to prevent conflicting instructions from different team members delaying production.
- Account ownership transfer. If the original registered contact leaves the client organization, account/billing control transfers to a newly designated contact only upon written confirmation. Until then, ShortVids continues acting on instructions from the original registered contact.
Posting & account access (Growth+)
- We can post to your channels with limited-role access plus 2FA.
- Posting windows are scheduled; last-minute changes may shift dates.
- We don’t store plaintext passwords; please use role invites/tokens.
On-site production (Studio & Enterprise)
- Includes pre-production (shot list, schedule), crew coordination, on-site direction.
- Not included unless specified: travel, stay, per diem, permits, rentals, insurance, overtime.
- Weather/force-majeure: rescheduling and related costs are client-borne.
- Enterprise: we can arrange on-site shoots at your office or studio globally (quoted).
Multi-language & localization
- (Studio/Enterprise) Translation, subtitles/captions, graphic localization, and voiceover dubbing available.
- Third-party costs billed at cost; timelines extend for QA and back-checks.
Editing standards & deliverables
- Startup: basic social edits, clean cuts, captions, simple transitions.
- Growth: basic to intermediate; more formats/aspect ratios, platform-specific outputs.
- Creator: advanced packaging for ad hooks, pattern breaks, thumbnails, virality tactics.
- Studio: advanced plus color grading, cinematic looks, multi-language variants.
- Enterprise: high-end finishing, localized masters, series packaging, custom templates.
- Default export 1080p unless you request 4K (may impact timelines/file sizes).
Team & support levels
- Startup: 2 dedicated editors (24h x 6 days), email support (48h SLA).
- Growth: 3-person pod (Editor, Script Writer, PM), email plus chat (24h SLA).
- Creator: 5-person pod (Editor, Script, Content Strategist, In-house Reviewer, PM), priority phone.
- Studio: 5 to 7 (up to 4 Editors plus Colorist plus Cameraperson/Producer), priority phone plus production liaison.
- Enterprise: 12+ cross-functional team, 24/7 dedicated support and account management.
- Backup editors are assigned for continuity during time-offs.
- Sole point of contact. All creative direction and feedback goes through your assigned Project Manager or Account Manager. Editors do not take direct client instructions outside this channel.
- No access to client internal systems. ShortVids only accesses what’s explicitly submitted per request; we don’t access client CRMs, ad accounts, or internal tools unless a specific request requires temporary, scoped access that’s been granted.
Licensing (stock, music, fonts, plugins)
- We use licensed libraries; extended/exclusive licenses are billed at cost.
- Platform Content ID claims can happen; we’ll help dispute when possible.
- Client-submitted assets. You agree to indemnify ShortVids against any claim, takedown, or damages arising from unlicensed footage, music, or images you submitted for production.
AI & synthetic media
- If using AI avatars/voices, likeness rights and third-party fees are client-borne.
- We follow platform policies; no deceptive deepfakes or misleading edits.
- General AI tool use. ShortVids may use AI-assisted tools as part of standard production (e.g., transcription, rough cuts, asset generation). Final creative decisions and quality control remain human-led. Requests requiring fully AI-generated visual or voice content are flagged and require client approval.
Source files, project files & assets
- Final exports included for all plans.
- Project/source files are included across all plan tiers on delivery.
- We may reuse internal templates/tooling across clients (not your raw footage).
IP, portfolio & compliance
- On full payment, you own final exported videos and project/source files for your project. Underlying reusable ShortVids templates, presets, and internal tooling used across multiple clients remain ShortVids IP.
- We may showcase final work in portfolio/case studies by default; opt out via written note to your Account Manager before your first delivery.
- Client is responsible for factual claims, disclosures, and any regulated-industry rules in their content.
- Feedback license. Any feedback or suggestions you provide about improving the service may be used by ShortVids without restriction or compensation.
- No exclusivity is implied by showcase or portfolio use, see Subcontractors, non-solicitation & conflicts below for exclusivity terms.
White-label & reseller terms
- Agency and reseller clients may present final videos to their own end clients under their own brand name.
- Disclosure of ShortVids as the production source to your end clients is not required. ShortVids is not responsible for maintaining that confidentiality on your behalf if it’s discovered through your own communications, invoicing, or team disclosures.
- A formal mutual confidentiality agreement covering how the relationship is referenced by both parties is available for agency/reseller accounts on request.
- ShortVids-produced case studies, samples, and pitch materials remain ShortVids IP and may not be represented as your own in-house creative capability when pitching new prospects.
- ShortVids offers portfolio-building support drawing on its production experience to help reseller/agency clients close more business, ask your Account Manager.
Data security & privacy
- NDA on all projects (internal team confidentiality). ShortVids operates on standard Terms of Service rather than signing bespoke, client-specific NDAs or exclusive agreements beyond this document; formal mutual confidentiality agreements for agency/reseller accounts and DPAs for Enterprise clients remain available on request.
- Encrypted transfer/storage and restricted access on a need-to-know basis.
- DPAs available on request (Enterprise).
- All team members operate under signed confidentiality and security agreements.
- ShortVids processes personal data only as needed to deliver services and does not sell personal data. Data access or deletion requests can be submitted to [email protected].
Data retention & deletion
- Delivered files retained 90 days for quick revisions.
- Long-term archival or raw-footage storage is an add-on.
- Secure deletion available on written request.
Acceptance, QA & sign-off
- We run internal QC for audio levels, spellings, brand kit, and export settings.
- Approval in SV Board marks a deliverable accepted for that milestone.
Performance & platform policies
- We optimize for performance, but no guarantees on views, ROAS, reach, or monetization.
- Each platform can change rules; approval is not guaranteed.
- ShortVids is not liable for content removal, demonetization, or flagging by third-party platforms; compliance with individual platform policies is the client’s responsibility.
Billing, taxes & fees
- Subscriptions are prepaid monthly and auto-renew unless canceled before the next cycle.
- Prices are exclusive of taxes; any VAT/GST/withholding is client-borne.
- Cross-border payment gateway/FX fees are client-borne.
Payment failures & chargebacks
- If a payment fails, a 5-day grace period begins from the failed payment date. During this period: no new deliverables are produced or released; commercial usage rights to previously delivered videos are suspended; any video completed during the grace period is held and not released until the account is current.
- If payment isn’t resolved within the 5-day window, ShortVids reserves the right to pause video deliveries and suspend access to creative folders and projects.
- Clients agree to raise billing or quality disputes with their Account Manager first and allow a reasonable opportunity (5 business days) to resolve before filing a chargeback or bank dispute. Filing a chargeback without first attempting resolution may result in account suspension and forfeiture of in-progress and queued work.
Pauses, cancellations & refunds
- Cancellation methods: via your Project/Account Manager, via email to [email protected], or via your Stripe billing page. Cancellation requests take up to 3 business days to process.
- Notice period: at least 7 days before your renewal date. Cancellations and refunds are not processed within the final 4 days before renewal.
- You can pause by request; unused capacity doesn’t roll over unless agreed in writing.
- Partial-period refunds aren’t offered unless required by law.
- Requests submitted after a cancellation notice is filed, including during the 7-day notice period, are not guaranteed production or delivery. Only requests already in active production before the notice was filed are guaranteed completion.
- Queued (not-yet-started) requests are closed and not carried forward upon cancellation, unless you resubscribe within 30 days, in which case they may be reinstated at our discretion.
- Credit rollover: unused purchased extra videos roll over for up to 6 months if unused. Subscription days themselves do not roll over. Rolled-over credits are forfeited if not resubscribed within 30 days of cancellation.
- Downgrades take effect at the next renewal, not immediately. If an immediate downgrade is requested, Active Requests exceeding the new tier’s limit are paused (not lost) until slots free up.
- Account suspension/termination. ShortVids may suspend or terminate an account for repeated attempts to circumvent Active Request limits, non-payment beyond the grace period, or submission of out-of-scope content, with notice to the Account Manager contact where resolvable.
Price changes & promotions
- Price changes come with notice; promotional lock-ins apply only to the stated period/plan.
Third-party tools & downtime
- We integrate with Slack, Frame.io (or similar). If third-party tools go down, timelines may shift.
- General force majeure. Neither party is liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, internet/platform outages, or third-party service failures. Affected deadlines are extended accordingly.
Safety, insurance & site rules (on-site)
- Client provides safe access, required permits, and a site contact during filming.
- Client equipment/locations must be covered by client insurance; we can share vendor certificates if needed.
Non-editable / production restrictions
- We don’t produce/edit illegal, hateful, or platform-prohibited content. When in doubt, ask your PM.
- Requests are reviewed case by case; ShortVids reserves the right to decline content that conflicts with our brand values, involves unlicensed third-party material, or makes unsubstantiated regulated-industry claims (medical, financial, legal). An exhaustive list is intentionally not published, since a fixed list becomes a checklist to route around rather than a genuine guardrail.
Subcontractors, non-solicitation & conflicts
- We may use vetted subcontractors under NDA.
- Please don’t solicit/hire assigned team members during the engagement and for 12 months after.
- We don’t offer exclusivity by default; ask if you need category exclusivity.
- Independent contractor status. ShortVids personnel, including subcontracted or freelance editors, are independent contractors, not employees or agents of the client. No employment, partnership, or agency relationship is created between the client and any individual performing services.
Communication & cadence
- Core systems: SV Board (project management, briefs, approvals, our system of record) and Slack (primary day-to-day communication). Email and WhatsApp are used on a limited, secondary basis.
- We can set weekly/bi-weekly check-ins for Creator+ plans.
Limitation of liability & warranty disclaimer
- Services and deliverables are provided “as is.” ShortVids does not warrant any specific business, marketing, or platform performance outcome beyond delivering work matching the submitted brief through the stated revision process.
- ShortVids’ total liability arising from these Terms or the Services is limited to fees paid in the 3 months preceding the claim. ShortVids is not liable for indirect, incidental, consequential, or punitive damages, including lost profits.
Governing law & disputes
- These Terms are governed by the laws of the State of Wyoming, USA.
